TERMS AND CONDITIONS

1. Introduction

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the Le Noireee Affiliate Program (“Program”). By applying to and participating in the Program, you agree to be bound by these terms.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age.
• Have a valid website, blog, social media account, or other online presence.
• Not be a competitor of Le Noireee.

3. Enrollment in the Program

To become an affiliate, you must complete the online application form. Once accepted into the Program, you will receive a unique affiliate code or tracking ID to use when referring customers.

4. Affiliate Responsibilities

As an affiliate, you agree to:

• Promote Le Noireee’s products/services using your unique affiliate code.
• Comply with all applicable laws and regulations, including advertising guidelines.
• Not make false or misleading claims about Le Noireee or its products/services.
• Not engage in any form of spam or unsolicited emails to promote the Program.

5. Commission and Payments

• Affiliates will receive a commission based on the sales generated through their referral code.
• Commissions are typically paid in NGN on a weekly/monthly basis, subject to a minimum payout threshold of NGN 5,000.
• Commissions will only be paid on confirmed and completed sales, and not on refunds, chargebacks, or cancellations.
• Le Noireee reserves the right to withhold payments in the event of suspected fraud.

6. Marketing Materials

Le Noireee may provide affiliates with marketing materials (such as banners, text links, and product images) to use in promoting products. Affiliates are not permitted to modify or create their own marketing materials unless approved by Le Noireee.

7. Prohibited Activities

Affiliates may not:

• Engage in any deceptive or misleading marketing tactics.
• Bid on Le Noireee branded keywords in paid advertising campaigns without prior approval.
• Promote Le Noireee products via illegal or unethical means, such as hacking or phishing schemes.
• Use Le Noireee name or trademarks in a manner that could cause confusion.
• Make any misleading, harmful, or false claims regarding the Company’s products, services, or brand.
• Post, comment, or share any content on social media or other platforms that could damage the brand’s reputation, including negative or defamatory remarks.
• Engage in negative online behaviors such as spam, abusive posts, comments, or any actions that may result in a bad reputation for the Company.
• Engage in offline behaviors, such as spreading negative or defamatory comments, engaging in any action that could harm the Company’s reputation through word-of-mouth, events, or in-person interactions.
• Engage in any actions deemed detrimental to the brand image or reputation, which will result in immediate termination of the affiliate partnership and the forfeiture of any unpaid commission.
• Engage in any form of fraud or manipulation, such as self-referrals, click fraud, or the use of bots or other automated tools to generate commissions.
• Promote Le Noireee products only on approved platforms. Affiliates may not advertise on prohibited websites, apps, or through channels that could be deemed inappropriate or damaging to the Company’s brand.
• Comply with all applicable laws and regulations, including but not limited to advertising regulations, data privacy laws (such as GDPR and CCPA), and consumer protection laws in all jurisdictions they operate in.
• Maintain confidentiality about all non-public business information, including but not limited to pricing, strategies, and upcoming product releases. Disclosure of confidential information to third parties is prohibited.
• Affiliates must not collect, use, or share customer data without the express consent of the customer. All personal data must be handled in compliance with relevant data privacy laws (such as GDPR).

8. Affiliate Code Tracking

All sales generated through the Program will be tracked using the affiliate code provided. Affiliates are responsible for ensuring that their affiliate codes are correctly implemented on their websites or other marketing channels.

9. Term and Termination

This Agreement will remain in effect until either party terminates it. You may terminate your participation in the Program at any time by providing written notice to Le Noireee. Le Noireee reserves the right to terminate your participation effective immediately if you violate these terms.

10. Refunds and Chargebacks

In the case of refunds or chargebacks, Le Noireee will reverse the corresponding commission. Affiliates are not entitled to commission for canceled or returned orders.

11. Confidentiality

Affiliates agree to keep all proprietary and confidential information received from Le Noireee private and not share it with third parties.

12. Modifications to the Program

Le Noireee reserves the right to modify or cancel the Affiliate Program at any time. Affiliates will be notified of any material changes to the Program.

13. Disclaimers and Limitation of Liability

Le Noireee makes no representations or warranties regarding the Program, the success of your affiliate marketing efforts, or any income potential. Affiliates participate at their own risk.

14. Governing Law

This Agreement shall be governed by the laws of Lagos, Nigeria, without regard to its conflict of laws principles.

15. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through mediation/arbitration.
